Terms of Service

These Terms of Service explain how the Longnewton Web Design monthly website service works. They apply when you ask us to design, build, host or manage a website for your business. Any package, proposal or separate written agreement confirmed with you also forms part of these terms. If a separate written agreement says something different, that agreement will take priority for that work.

The Monthly Website Service

Longnewton Web Design primarily provides websites through a managed monthly service. Unless we agree otherwise in writing, there is no long-term fixed contract. The service continues on a rolling monthly basis, and you can cancel it in line with the cancellation terms below.

What Your Package Includes

The exact service depends on the package you choose. Your package may include:

Initial website design, build and setup.
The agreed number of website pages.
Managed website hosting and technical maintenance.
Routine website management and reasonable minor content updates.
Basic support relating to your website.
Complimentary initial Google Business Profile optimisation where included.

Current package contents and prices are shown on the Pricing page. We will confirm your selected package before work begins.

Work Not Included

Unless we agree otherwise, the monthly service does not include:

Unlimited revisions, major redesigns or a complete change of direction after approval.
Unlimited new pages or work outside the selected package.
Professional photography or advanced copywriting.
Paid advertising, ongoing SEO campaigns or ongoing Google Business Profile management.
Social media management.
Third-party software, subscriptions or licence fees.
Ecommerce, booking systems or other complex functionality unless included in the agreed work.

If you ask for work outside your package, we will explain any additional cost before carrying it out.

The Initial Build and Revisions

You must complete the requested setup form and supply any logo and photographs you want us to use. You should check the proposed website and send reasonable feedback. Reasonable revisions within the agreed scope are included during the initial build.

A complete redesign, major change of direction or significant extra work may be charged separately. We may delay the build or launch if required information, materials, feedback or approval are not supplied.

Payments

Monthly fees are normally collected by Direct Debit. We will confirm your package, payment amount and billing schedule before work begins. Unless agreed otherwise, the first monthly payment is normally taken on the 1st of the following month.

Payments must be made when due. If a payment fails or becomes overdue, we may pause work, support or hosting and may take the website offline until the account is brought up to date. Any third-party cost or work outside your package will be explained before it is charged.

Cancellation

You can cancel the rolling monthly service at any time by contacting us in writing. Cancellation will normally take effect at the end of your current paid billing period. Payments already made for that period are not normally refundable, and any outstanding amounts must still be paid.

When the service ends, hosting, maintenance, support and ongoing website management also end unless we agree a separate arrangement. The website may be taken offline at the end of the paid period. Cancellation of the monthly service does not automatically transfer the website files or source code to you.

Suspension or Termination by Us

We may suspend or end the service for failed or overdue payments, abusive or threatening behaviour, illegal content, misuse of the service or another serious breach of these terms. Where reasonable, we will explain the problem and give you an opportunity to put it right first. We may act immediately where necessary to protect the service, another person or the law.

Website and Content Ownership

You keep ownership of your business name, logo, branding, photographs, written content and other original materials you supply. You confirm that you have permission to use those materials on the website.

Unless we specifically agree a transfer in writing, Longnewton Web Design retains ownership of the website design, source code, templates, reusable components, development system and underlying website files. Paying the monthly fee does not transfer ownership of those items, and you do not automatically receive the website files if you cancel.

We may agree to sell or transfer website files under a separate written arrangement. This may involve an additional fee and does not include rights in our reusable code, systems, components or development methods unless expressly stated.

Intellectual Property

You are responsible for making sure you have the right to use any text, photographs, logos, trademarks or other materials you provide. You are responsible for claims arising from client-supplied material that you were not entitled to use. Longnewton Web Design retains its rights in reusable templates, code, systems, components and development methods.

Domain Names

If you purchased and registered a domain yourself, it remains yours. You may need to give us suitable access so we can connect it to the website.

If Longnewton Web Design purchases a domain for you, it may remain registered and managed through our registrar account unless we agree otherwise. If you cancel and want that domain transferred to you, we can arrange the transfer after all outstanding payments have been cleared. You are responsible for any registrar transfer fee, renewal fee or other third-party charge connected with the transfer.

A domain transfer does not include the website source code or website files. We are not responsible for downtime, email disruption or technical problems caused by a transfer to another provider, although we will take reasonable care when carrying out any steps that are under our control.

Your Responsibilities

You are responsible for:

Providing accurate business, service and contact information.
Checking the website and notifying us of incorrect or outdated information.
Reviewing and approving the website before launch.
Having permission to use all content and materials you supply.
Maintaining any licences, permissions or qualifications required by your business.
Making sure your business and its website content comply with applicable laws and regulations.

Google Business Profile Optimisation

Certain packages may include complimentary initial Google Business Profile optimisation. This may cover business information, categories, services, images, service areas and other relevant profile details.

You are responsible for requesting and responding to reviews and keeping your profile active unless ongoing management is agreed separately. Google controls its platform and ranking systems, so we cannot guarantee a particular position, continued visibility or prevent changes made by Google.

Results

We build websites to improve your online presence and make it easier for potential customers to understand your business and contact you. We do not guarantee a particular number of enquiries, leads, customers, sales, Google positions or revenue.

Results depend on factors outside the website itself, including your location, competition, reviews, market demand, responsiveness and third-party platforms.

Third-Party Services

We may use third-party services for hosting, domains, forms, analytics, payments, Google services or other website functions. We will choose and manage these services with reasonable care, but we are not responsible for outages, suspensions, policy changes or technical problems caused by a third party outside our reasonable control.

Website Availability and Maintenance

We will take reasonable steps to keep your website available and working. We cannot promise continuous 100% uptime. Temporary downtime may occur because of maintenance, hosting problems, third-party outages, domain or DNS changes, security issues or circumstances outside our reasonable control.

Liability

We are responsible for loss or damage that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for loss caused by inaccurate material you provide, changes made without our approval, your failure to follow reasonable instructions or events outside our reasonable control.

As this is a business service, we are not responsible for indirect or consequential losses, or for loss of profit, revenue, business, opportunities, enquiries, rankings or data, except where such liability cannot lawfully be excluded. Where the law allows, our total liability relating to the service will not exceed the fees you paid to us during the 12 months before the event giving rise to the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Portfolio and Marketing Use

We may display your completed website, business name and publicly available website imagery in our portfolio, case studies and marketing. Tell us in writing if you do not want your website used in this way.

Changes to These Terms

We may update these Terms of Service from time to time. The latest version will be published on this page with an updated date. We will communicate material changes that affect an existing client’s service within a reasonable time.

Governing Law

These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction unless applicable law requires otherwise.
